CRUMALL provides you with the services you enjoy based on the following terms and conditions. Please read and comply carefully.
Welcome to Jiangsu Jiayou Supply Chain Management Co., Ltd. (hereinafter referred to as "Jiangsu Jiayou") Service Terms Agreement (hereinafter referred to as "this Agreement"). The terms and conditions set forth in this agreement apply to the various tools and services (hereinafter referred to as the "Services") provided by you for trading and communication in the global enterprise to enterprise (B-TO-B) electronic market (e-market) using the CRUMALL website (www.crumallcom), computer client, and related mobile client (hereinafter referred to as the "CRUMALL Platform" or "Platform").
CRUMALL platform services refer to various products and services provided through the CRUMALL platform (subject to actual provision), and you can choose to use one or more specific services according to your own needs and comply with their service rules. The service terms, rules, instructions, standards, etc. (collectively referred to as "service rules") related to specific service content, service levels, technical specifications, operation documents, billing standards, etc., shall be subject to the content displayed on the relevant pages of the CRUMALL platform.
Article 1 Acceptance Terms
1. Do not register or use CRUMALL platform services unless you have fully read, understood, and agreed to accept and comply with this agreement. The content of this agreement includes the main text of the agreement and all rules that CRUMALL has already published or may publish in the future. All rules are an integral part of this agreement and have the same legal effect as the main text of this agreement.
2. If you click the "Agree and Continue" button or confirm through the CRUMALL platform page or express or imply acceptance of this agreement in any other way, or if you continue to use CRUMALL platform services in any way, it shall be deemed that you have read and agreed to be bound by this agreement, and this agreement shall have legal effect between you and CRUMALL.
3. CRUMALL has the right to revise any terms of this agreement at its discretion according to business needs, and update them in the form of CRUMALL platform announcements, without notifying you separately. Once the revised terms are published on the CRUMALL platform, they become effective. If you do not agree with the relevant revisions, please stop using the service immediately. If you continue to use the service, it will be deemed that you have accepted the revised terms. In case of any dispute between you and CRUMALL, the latest terms shall prevail.
Article 2 Registration Terms
1. Service users
You confirm that when you complete the registration process or actually use the services in other ways permitted by CRUMALL, you should be a natural person, legal person, or other organization with full civil capacity and the capacity to act in accordance with the civil acts you engage in. If you do not have the aforementioned subject qualifications, please do not use the service. Otherwise, you and your guardian (if any) shall bear all consequences arising therefrom, and CRUMALL has the right to cancel (permanently freeze) your account. If any losses are caused to CRUMALL as a result, CRUMALL has the right to claim compensation from you and your guardian (if any). If you register as a member on the CRUMALL website on behalf of other natural persons, legal entities, or other organizations, you represent and warrant that you have obtained valid authorization and have the right to bind the aforementioned legal entities to the terms of this agreement.
2. Register an account
2.1 After you fill in the information, read and agree to this agreement and complete all registration procedures as prompted on the registration page, or after you fill in the information, read and agree to this agreement and complete all activation procedures as prompted on the activation page, or when you actually use CRUMALL platform services in any other way, you are bound by this agreement. You can use the email address you provided or confirmed, or other methods allowed by CRUMALL, as a login method to log in to the CRUMALL platform.
2.2 You can set a username for your account, but the username you set must not infringe or be suspected of infringing on the legitimate rights and interests of others. If the username you set is suspected of infringing on the legitimate rights and interests of others, CRUMALL has the right to terminate the services provided to you and cancel your account. After account cancellation, the corresponding username will be opened to other authorized users for registration and use.
2.3 When completing the registration or activation process, you should accurately provide and update your information in a timely manner in accordance with legal and regulatory requirements, as prompted on the corresponding page, to make it true, timely, complete, and accurate. If there are reasonable grounds to suspect that the information you provide is incorrect, untrue, outdated, or incomplete, CRUMALL has the right to issue a notice of inquiry and/or request correction to you, and has the right to directly delete the corresponding information, until the suspension or termination of providing part or all of CRUMALL's services to you. CRUMALL shall not be responsible for this, and you shall bear any direct or indirect losses and adverse consequences arising therefrom.
3. At present, the CRUMALL platform allows a legal entity to have multiple platform accounts, but one platform account can only correspond to a unique legal entity. Unless there are legal provisions or effective legal documents that determine, or meet the conditions announced by the platform, you are not allowed to transfer, gift, or let others inherit your platform account in any way. At the same time, when transferring, gifting, or inheriting platform accounts that meet the conditions, CRUMALL platform has the right to require you, and/or the transferee, or your heir, to provide qualified documentation and follow the platform's required operating procedures.
4. You understand and agree that in order to ensure the security of your account and transactions, CRUMALL platform has the right to require you to complete real name authentication of your platform account at any time; At the same time, the platform may require you to provide more identity information and data for further identity authentication or qualification verification in order to activate certain products or services. Your account can only be eligible to use the relevant products or services after passing these authentication and verification.
Article 3 Account Security
1. You are responsible for keeping your platform account and password confidential on your own, and are responsible for all activities that occur under this login name and password, including but not limited to information disclosure, posting information, online clicking to agree or submit various rules and agreements, online renewal agreements, or purchasing services. You need to ensure that you follow the correct steps to leave the website at the end of each online session. The CRUMALL platform cannot and will not be responsible for any loss or damage resulting from your failure to comply with this provision.
2. If you discover that someone else has stolen your account and password, or any other situation without your legal authorization, you should immediately notify CRUMALL in an effective manner and provide necessary information (such as customer information, situation explanation, proof materials, and claims, etc., in order to verify your identity and the incident). After CRUMALL receives your valid notification and verifies your identity, it will handle it in accordance with laws, regulations, and service rules. You shall bear the relevant responsibilities and consequences arising from the platform's handling in accordance with this clause.
If the information you provide contains defects that prevent CRUMALL from verifying your identity or determining your needs, resulting in the platform's failure to process it in a timely manner, and causing any losses to you, you shall bear the responsibility on your own. At the same time, you understand that CRUMALL requires a reasonable period of time to process your request. CRUMALL shall not be liable for any losses incurred by you before the platform takes measures, or for losses caused by reasons not attributable to the platform after taking measures.
3. You understand and agree that CRUMALL has the right to understand the true background and purpose of your use of the products and services on this website, and has the right to require you to provide truthful, comprehensive, and accurate information; If CRUMALL has reasonable grounds to suspect that the information you provide is untrue, that you engage in false transactions, or that your behavior violates website rules, CRUMALL has the right to temporarily or permanently restrict some or all of the features of all products and/or services used under your account.
4. You understand and agree that CRUMALL has the right to temporarily suspend or restrict some or all of the fund payment functions under your account based on the needs of operation and transaction security. The platform will notify you through email, internal message, SMS, or phone, and you should pay attention to it in a timely manner and follow the procedures for appeal and other follow-up actions.
5. You understand and agree that CRUMALL has the right to query, freeze or deduct your subject information and funds, transactions and accounts on this website in accordance with the requirements of national judicial, administrative, military, security and other authorities (including but not limited to public security organs, procuratorial organs, courts, customs, tax authorities, security departments, etc.).
Article 4 Termination of Service
1. Service termination:
1.1 You agree that CRUMALL may, at its sole discretion, terminate your service password, account (or any part thereof), or your use of the service for any reason (including but not limited to CRUMALL's belief that you have violated the letter and spirit of this Agreement, or that you have acted in a manner inconsistent with the letter and spirit of this Agreement) without charging you. You agree that in the event CRUMALL charges you, CRUMALL shall terminate the service based on reasonable suspicion and notification via email. You further acknowledge and agree that CRUMALL may immediately invalidate your account, or cancel your account and all related information and files in your account, and/or prohibit you from further accessing such files or services in the event of termination of your services under this Agreement. After the termination of the account, CRUMALL is not obligated to retain any information related to the original account or forward any unread or unsent information to you or any third party. In addition, you agree that CRUMALL shall not be liable to you or any third party for terminating the provision of services to you.
1.2 You have the right to request CRUMALL to cancel your account. Upon CRUMALL's approval, CRUMALL will cancel your account, and at that time, your contractual relationship with CRUMALL based on this agreement will terminate. After your account is cancelled, CRUMALL is not obligated to retain or disclose any information in your account to you, nor is it obligated to forward any information that you have not read or sent to you or any third party.
1.3 You understand and agree that after the termination of your contractual relationship with CRUMALL:
a) CRUMALL reserves the right to continue storing your information.
b) If you engage in illegal behavior or violate this agreement and/or rules during the use of the service, CRUMALL may still assert its rights against you in accordance with this agreement.
c) The relationship between you and other users during the use of the service shall not terminate due to the termination of this agreement. Other users still have the right to claim their rights from you, and you shall continue to fulfill your obligations as promised.
Article 5: Terms of Service for Paid Members
1. Once paid by CRUMALL platform members according to the Service Agreement, the fees are non refundable. If you wish to stop providing services related to the CRUMALL platform due to your own business reasons, or if CRUMALL stops providing services to you due to illegal or irregular behavior, CRUMALL has the right to terminate this agreement without refunding the collected membership fees.
2. Paid members must comply with the Service Agreement, this Agreement, and the rules published on the relevant platform before they can enjoy the relevant paid services.
3. If you want to upgrade to a higher level of membership before your membership expires, CRUMALL staff will contact you proactively after sending the application, and you will need to pay the difference in membership fees. CRUMALL has the right to explain the calculation method for price differences.
4. CRUMALL has the right to adjust the membership fee amount based on market conditions and business development needs. If the adjusted membership fee amount is higher than the amount you applied for membership, CRUMALL will not charge the difference; If the adjusted membership fee is lower than the amount you applied for membership, CRUMALL is not obligated to refund the difference. If the membership expires and a new membership is applied for, the membership fee will be calculated based on the latest updated membership fee.
5. CRUMALL has the right to implement promotional activities, recharge discounts, and gift services based on market conditions, product promotion, and business development needs, and to reduce the membership fees of CRUMALL members who meet the preferential conditions to a certain extent. You understand and agree that these promotional measures may be temporary, phased, or limited in quantity, and may only apply to customers who meet specific conditions. You need to purchase and use the corresponding services according to the corresponding rules. CRUMALL is not obligated to refund the difference in membership fees to members who have not enjoyed the discount.
Article 6 Terms of Use
1. When using CRUMALL, you must ensure compliance with the laws, regulations, and rules of the country, as well as relevant agreements, rules, procedures, and practices of CRUMALL. You are not allowed to engage in any illegal activities using CRUMALL.
2. You are solely responsible for the authenticity, accuracy, immediacy, completeness, and legality of all information published through CRUMALL, including but not limited to personal information, commercial information, and forms such as but not limited to text, images, and videos.
3. Any notification sent by CRUMALL via email will be sent to the email address registered with CRUMALL (you agree that if you modify the email address submitted during registration and pass CRUMALL's review, the new email address shall prevail). When this email enters the aforementioned email receiving system, it shall be deemed delivered. CRUMALL has the right to send various commercial information related to the services provided by CRUMALL through the contact information provided by you (including but not limited to email, SMS, etc.). If you refuse to continue receiving the above commercial information, you must notify us in writing.
4. CRUMALL prohibits you from posting the following information on its website:
4.1 Information about derogatory language related to religion, race, or gender, or containing obscene, pornographic, insulting, defamatory, or other content;
4.2 Information that infringes upon any third-party copyright, patent, trademark, trade secret, privacy, reputation or other rights;
4.3 Any other information that violates national laws, regulations, rules, etc.
5. When you use the services on the CRUMALL platform, you must maintain the order and security of the Internet, not infringe the legitimate rights and interests of any subject, and not conduct, including but not limited to, the following acts, nor provide convenience for them:
5.1 Engaging in fraudulent, false, or misleading behavior, or engaging in any behavior that infringes upon the legitimate rights and interests of others, such as "private servers", "cheating", etc.
5.2 Posting and disseminating spam emails (SPAM) or containing illegal and irregular information that endangers national order and security, feudal superstition, obscenity, pornography, vulgarity, etc.
5.3 Violation of operational regulations for networks, devices, or services connected to the CRUMALL platform network; Implementing illegal or unauthorized access, theft, interference, or monitoring.
5.4 Implement any behavior that damages or attempts to damage network security, including but not limited to malicious scanning of websites and servers through viruses, trojans, malicious code, phishing, etc., illegal intrusion into systems, illegal acquisition of data, etc.
5.5 Implement any changes or attempts to change the system configuration or compromise system security provided by CRUMALL platform services; Using technology or other means to disrupt or disrupt the operation of CRUMALL platform services or the use of CRUMALL platform services by others; To interfere or attempt to interfere in any way with the normal operation of any product or any part or function of the CRUMALL platform, or to create, publish, disseminate the aforementioned tools, methods, etc.
5.6 If you engage in any business including but not limited to "DNS resolution", "security services", "domain name proxy", "reverse proxy", etc., resulting in frequent attacks (including but not limited to DDoS attacks) on yourself and failure to correct your behavior in a timely manner, or failure to eliminate the impact according to CRUMALL platform requirements, thereby affecting the platform service platform or others.
5.7 Carry out other acts that undermine the order and security of the Internet.
6. CRUMALL will make every effort to verify the information submitted by members and review, publish or delete the information submitted by members in accordance with relevant laws and regulations as well as the platform's operating rules, but cannot fully guarantee the authenticity, accuracy and legality of the information published by members.
7. CRUMALL contains links to other websites. CRUMALL does not have control over these websites and the resources they provide, and therefore makes no commitment to the authenticity, accuracy, timeliness, or completeness of the content, advertisements, services, and product information on the linked websites. CRUMALL also does not assume any legal responsibility for the linked websites.
7.1 If you obtain or use any products or services provided by third parties through the CRUMALL platform (including but not limited to products or services provided by service providers or other third parties in the CRUMALL platform service market), you should evaluate whether the product or service meets your requirements on your own.
7.2 The activation of third-party products or services may require you to sign a separate agreement with the third party. The separate agreement may be displayed in electronic form or in a separate paper document. You can decide whether to accept the agreement and use the product or service based on your own situation.
7.3 Any disputes arising from the use of third-party products or services shall be resolved between you and the third party, and any economic compensation involved shall be borne by you.
8. You agree that CRUMALL has a free, perpetual, irrevocable, non exclusive, and complete license and sublicense worldwide to use, copy, modify, adapt, publish, translate, create derivative works based on, disseminate, perform, and display the aforementioned content (in whole or in part), and/or incorporate the aforementioned content into any other form of work, media, or technology, whether currently known or developed in the future, with respect to the companies, products, or other information (including but not limited to text, images, videos) that you choose and post in publicly available areas on CRUMALL. At the same time, you agree that CRUMALL is exempt from any legal liability arising from the information you provide, provided that the substance of the information remains unchanged.
Article 7: Upload Service Terms
If you intend to use the CRUMALL platform to upload videos, images, and other content (hereinafter referred to as "audiovisual works"), you must agree to these terms,
1. You promise that you have complete copyright or have obtained legal authorization for the audiovisual works you upload, and have not infringed upon the legitimate rights and interests of any third party
2. You promise that the audiovisual works you upload shall not contain:
2.1 Content that violates national laws and regulations, endangers national security and unity, national sovereignty and territorial integrity, ethnic unity, social stability, public order and good customs, social morality, as well as insults, defamation, obscenity or any sexual or sexual implications, violence, pornography, gambling, terrorist activities, etc;
2.2 Content that infringes upon the legitimate rights of others, such as reputation, portrait, intellectual property, and trade secrets;
2.3 Content involving the privacy, personal information or data of others;
2.4 Harassment, advertising information, and spam messages;
2.5 Other information that violates laws, regulations, policies, public order and good customs, social ethics, relevant platform rules, or interferes with the normal operation of videos and infringes on the legitimate rights and interests of third parties.
If you upload or intend to upload audiovisual works containing the above content, CRUMALL has the right to refuse to provide you with relevant services for uploading audiovisual works and delete the audiovisual works you have already uploaded without prior notice to you.
3. You are not allowed to use illegal methods to upload content for boosting traffic or uploading spam ads. CRUMALL will set a reasonable upper limit on the daily upload volume for each member, exceeding the corresponding amount may result in upload failures. If you violate the aforementioned regulations, CRUMALL has the right to delete the audiovisual works you upload.
4. Content upload and authorization. You acknowledge and agree to the relevant rights (including but not limited to reproduction rights, compilation rights, information network dissemination rights, etc.) of all audiovisual works uploaded by you to the CRUMALL platform, and grant CRUMALL and its affiliates the right to download and use them globally for free, sublicensable, sublicensable (through multiple levels), and available to other members or third-party entities. You hereby confirm and agree that the form of use includes but is not limited to use in specific products, services, or for promoting corresponding products and services. Unless otherwise expressly provided by law, CRUMALL shall not be liable for any legal responsibility arising from the use of the aforementioned content, based on your rights and disclaimers regarding audiovisual works. 5. If there are any legal issues or defects regarding the aforementioned rights guarantee, which result in CRUMALL being subject to any unspecified third-party claims, you agree that CRUMALL will comply with national laws and regulations to delete the aforementioned content in accordance with the law.
6. You are responsible for the accuracy, authenticity, security, legitimacy, legality, compliance, and timeliness of the content and information you upload on the CRUMALL platform. If you upload, publish or transmit audiovisual works containing the content mentioned in the second article, or infringe upon the legitimate rights and interests of any third party, you will directly bear all adverse consequences resulting from such actions. If any adverse consequences are caused to CRUMALL as a result, you shall be responsible for eliminating the impact and compensating CRUMALL for all losses incurred as a result, including but not limited to property damage compensation, reputation damage compensation, legal fees, transportation expenses and other reasonable expenses incurred due to rights protection or all other expenses required by CRUMALL.
7. If CRUMALL is unable to continue providing audiovisual upload services under these terms due to legal regulations or regulatory requirements, CRUMALL has the right to terminate the service provided to you at any time without any liability.
Article 8 Dispute, controversy and complaint handling
1. The user agrees to promptly notify CRUMALL and provide corresponding proof materials when discovering any facts that may infringe upon their or CRUMALL's rights during the use of CRUMALL platform services. Users shall bear legal responsibility for any losses caused to CRUMALL or third parties due to false complaints.
2. CRUMALL has the right to accept and handle disputes, controversies, and complaints arising from the use of CRUMALL between you and other members, and has the right to contact you through email or other means to inquire about the situation and notify the other party of the information obtained through email or other means. You have the obligation to provide relevant information within the time specified by CRUMALL upon receipt of CRUMALL's notification, and cooperate in understanding and handling disputes, controversies, and complaints. Otherwise, CRUMALL has the right to unilaterally and independently judge whether other members' complaints and/or claims against you are valid, and make unfavorable decisions against you. If CRUMALL determines that the user's payment request is valid, you should make timely payment. At the same time, CRUMALL has the right to immediately suspend or terminate your relevant CRUMALL services or refuse you to use CRUMALL in any form and provide necessary identity information to the rights holder. CRUMALL shall not be held responsible for any service reduction or other damages caused to you as a result.
3. As CRUMALL is not a judicial or other national authority, you fully understand and acknowledge that CRUMALL's ability to identify evidence and handle disputes is limited. The acceptance, handling of disputes, controversies, and complaints are solely based on your authorization and do not guarantee that the handling results will meet your expectations, nor do you assume any responsibility for the handling results. CRUMALL has the right to decide whether to participate in the resolution of disputes.
4. If it is confirmed through effective legal documents that a member has engaged in illegal or non compliant behavior with this agreement, or if CRUMALL independently determines that a member is suspected of engaging in illegal or non compliant behavior with this agreement, CRUMALL has the right to publicize the member's illegal behavior and take corresponding measures, including but not limited to terminating the service, permanently banning the use of CRUMALL, etc.
Article 9 Suspension and Termination
CRUMALL has the right to suspend or terminate its related services or refuse to use CRUMALL in any form, with or without notice, for the following actions, and shall not be liable for any reduction in services caused to you as a result, and reserves the right to pursue legal responsibility against you:
1. When the subject license information you provided is inconsistent with the actual situation, the registration information is not updated in a timely manner, or when the actual business information is inconsistent with the license information, the license information is not updated in a timely manner;
2. Using CRUMALL to spam duplicate information, publishing information prohibited or restricted by national laws and regulations, publishing information that does not fall within the scope of membership business, or information unrelated to CRUMALL services;
3. Sending a large amount of non business related information to other members of CRUMALL without request or authorization;
4. Using the name of another enterprise to publish commercial information and engage in commercial activities;
5. Plan to damage or attack the integrity of CRUMALL website computer system and network, or attempt to enter CRUMALL website computer system and network without authorization;
6. Use or provide any computer virus, disguised destructive program, computer worm, timed program bomb or other destructive program that destroys, interferes with, intercepts or invades any system, data or personal information;
7. Stealing someone else's login name and/or password on CRUMALL;
8. Selling or authorizing the use of an account without CRUMALL's consent;
9. Engage in, participate in, or be involved in any fraudulent, intellectual property infringing, or harmful activities to CRUMALL or any other CRUMALL user or any counterparty;
10. Other behaviors that violate national laws and regulations, rules and regulations, public order and good customs, CRUMALL's relevant agreements, provisions, rules, procedures, and practices.
Article 10 Scope and Limitation of Liability
1. You expressly understand and agree that CRUMALL shall not be liable for any damages arising from any of the following circumstances, including but not limited to damages for loss of profits, goodwill, use, data, or other intangible losses (regardless of whether CRUMALL has been informed of the possibility of such damages): (i) use or failure to use the service; (ii) The cost of obtaining substitute goods and services arising from the purchase or acquisition of any goods, samples, data, information or services through or from the service, or the receipt of any information through or from the service, or the conclusion of any transaction; (iii) Unauthorized access or alteration of your transmitted data or information; (iv) Any third-party statement or behavior regarding the service; Or (v) any other matters related to the service arising from any reason, including negligence.
2. CRUMALL will make every effort to ensure that you can use the CRUMALL platform normally. Unfortunately, CRUMALL cannot foresee any technical issues or other difficulties at any time. Such difficulties may result in data loss or other service interruptions. Therefore, you clearly understand and agree that the risk of using the service is borne by you, and the service is provided in an "as is" and "as available" state. CRUMALL expressly disclaims any express or implied warranties of any kind, including but not limited to warranties of merchantability, fitness for a particular purpose, and non infringement. CRUMALL does not guarantee that: (i) the service will meet your requirements; (ii) The service will not be interrupted and will be timely, secure, and error free; (iii) The results that may be obtained through the use of the service will be accurate or reliable; And (iv) the quality of any products, services, information or other materials purchased or obtained by you through the service will meet your expectations. Downloading or otherwise obtaining any materials through the use of the service is at your sole discretion and risk. You will be responsible for any damage to your computer system or any data loss that may occur as a result of downloading any such materials. Any oral or written opinions or materials obtained from CRUMALL or through or from the service shall not give rise to any warranty liability not expressly stated in this agreement.
Article 11 Compensation
You agree that if you violate this agreement or any other documents included in this agreement, or if you violate the legal rights of a third party, or if you violate the law and are subject to administrative or criminal liability, resulting in a claim or penalty request from a third party or administrative or judicial authority against CRUMALL (including judicial fees and other professional fees), you must fully compensate CRUMALL and protect them from any losses.
Article 12: Links
Both services and third parties can provide links to other World Wide Web websites or resources. As CRUMALL does not control such websites and resources, you acknowledge and agree that CRUMALL is not responsible for the availability of such external websites or resources, and does not endorse any content, promotions, products, services, or other materials on or available from such websites or resources, nor is it responsible or liable for them. You further acknowledge and agree that CRUMALL shall not be liable for any direct or indirect damages caused (or claimed to be caused) by the use or reliance on such content, advertising, products, services, or other materials obtained from such websites or resources.
Article 13 Notice
1. You should accurately fill in and timely update the contact information you provide, such as email address, contact phone number, contact address, postal code, etc., so that CRUMALL or other users can effectively contact you. If you are unable to contact you through these contact information, resulting in any losses or additional costs incurred during the use of CRUMALL services, you shall be solely responsible. You understand and agree that you have an obligation to maintain the validity of the contact information you provide. If there are any changes that need to be updated, you should follow CRUMALL's requirements.
2. Unless otherwise specified, any notice between you and CRUMALL shall be sent via email, with the email address for CRUMALL being Support@haizol.com Or (for you) send it to the email address you provided to CRUMALL during the registration process, or to such other address as specified by the relevant party. Notification shall be deemed delivered twenty-four (24) hours after the email is sent, unless the sender is informed that the relevant email address has been invalidated. Alternatively, CRUMALL may send the notification to the address you provided to CRUMALL during the registration process by prepaid registered mail with a receipt requested. In this case, notice shall be deemed delivered three (3) days after the date of payment.
Article 14 Force Majeure
CRUMALL shall not be liable for any delay or failure to perform due to reasons beyond CRUMALL's reasonable control, including but not limited to natural disasters, epidemics, strikes or riots, material shortages or rationing, riots, acts of war, government actions, hacking, communication or other facility failures, or serious injury accidents.
Article 15: Application of Law, Jurisdiction, and Others
1. The validity, interpretation, modification, execution, and dispute resolution of this agreement shall be governed by the laws of the mainland of the People's Republic of China. If there are no relevant legal provisions, reference shall be made to general international business practices and/or industry practices.
2. You are only in an independent contracting relationship with CRUMALL. This agreement does not intend to establish or create any agency, partnership, joint venture, employment and being employed, or special authorization and being authorized relationship.
3. You agree that CRUMALL has the right to transfer, in whole or in part, the rights and obligations under this Agreement for the purpose of conducting business without further notice to you and obtaining your consent.
4. Any disputes arising from or related to this agreement shall be brought to the people's court where CRUMALL is located.
5. This agreement supersedes any prior written or oral agreements between you and CRUMALL regarding the same matter. If any provision of this Agreement is determined to be invalid or unenforceable, that provision shall be revoked and the remaining provisions shall be complied with and enforced. The title of the clause is for ease of reference only and does not in any way define, limit, interpret or describe the scope or limitations of the clause. CRUMALL's failure to take action on any breach by you or any other person does not imply CRUMALL revoking its right to take action on any subsequent or similar breach events.
6. CRUMALL can provide you with a certain service (hereinafter referred to as "single service") separately, If you need to use this single service, you need to sign the relevant agreement for this single service according to the prompts on the platform page. If there is any inconsistency between the individual service agreement and contract and this agreement, the relevant agreement and contract of the individual service shall prevail; If there are no provisions in the individual service agreement or contract, this agreement shall prevail.
